Kinderville purchases several millions of dollars of goods and services for its Childcare Centres and Schools and is always looking for suppliers that can help in its quest to offer quality childcare and education.

We purchase mainly the following goods and services:

Food - Canned, Frozen and Fresh
Toys and Educational equipment
Computer hardware and software

Services
Cleaning and Maintenance Services
Transportation - schools buses and leased vehicles
Insurance Services

We expect the highest standards of quality and service from our suppliers in keeping with our pledge to our own clients.

General Terms and Conditions of Service

Kinderville Purchase Order terms and conditions including these general purchase conditions govern the purchase of goods and services by Kinderville.

1. Validity:  
Kinderville Purchase Order (KPO) is valid only when it is in writing and signed by the our Corporate Designated Buyer.

2. Acceptance of Conditions :: 

The Purchase Order is the entire agreement between Kinderville and the supplier. The KPO terms and conditions including these general purchase conditions will be deemed accepted by the Supplier, upon the earlier of a) Supplier beginning to render services of supply goods, or b) Supplier receiving any money from or paid on behalf of Kinderville, or c)
Supplier accepting the KPO. Any changes to KPO terms and conditions, including these general purchase conditions shall not be binding unless agreed upon in writing. Suppliers must forward a delivery note with the shipment of goods or rendering of services to the address marked for the delivery of the goods and services All delivery documentation shall contain description of the goods to be delivered.

3. Prices, Taxes and Duties:
 Applicable taxes and duties as required by Canadian law shall be marked seperately in all shipping documents..

4. Shipment dates and timing:
Any shipment released prior to the delivery date shown on the KPO may, be returned to the original shipping point. Further, should the supplier fail to comply with shipping instructions or commit error in delivery, Kinderville may withhold any and all payments due or owing to the Supplier.

5. Time is of the Essence in the Execution of Supplier Obligations under the KPO.

6. Warranty:  
Suppliers will expressly warrants that all work delivered under KPO will conform to any sample and any specifications, drawings or other description furnished or referenced by Kinderville and will be fit and sufficient for the intended purpose of Kinderville and be of first class and merchantable quality, of the highest standards performance and free from defects in design, materials and workmanship. These warranties do not limit or restrict, in any way, any additional warranties available to Kinderville under law.  

7. Patent and Trade Mark :
Supplier warrants that all merchandise delivered and services performed under KPO and the manufacture, sale and use thereof will not infringe any patent, copyright or trademark and that the Supplier will, at his own expense, defend, indemnify and hold harmless Kinderville, its successors, assignees and customers from and against all claims, demands, actions and liability arising out of such infringements.  

8. General Indemnity:
 Supplier covenants and agrees to be responsible for and to indemnify and save harmless Kinderville, its employees and customers from and against all loss, liability, cost and expense (including legal fees) connected with all personal injury including death and damage to property arising out of any act or omission of the Supplier, its employees, agents or subcontractors.  

9. Confidentiality:
Information, which is designated by Kinderville as confidential, shall be held in strict confidence by the Supplier and shall not be disclosed except upon written authorization of Kinderville and upon such terms and conditions as Kinderville  may specify. All documents and information  provided to the Supplier by Kinderville are deemed to be Kinderville's property and could not be used for other purposes than KPO, unless otherwise agreed in writing by Kinderville.
 
10. Compliance:  
Supplier warrants that all goods delivered under KPO shall be in strict compliance with all applicable codes, standards, laws and regulations and Supplier shall indemnify and hold harmless Kinderville and its customers from and against all loss, liability and fines arising of the Supplier's failure to so comply.
   
11. Governing Law:
 The Purchase Order terms and conditions including these general purchase conditions shall be interpreted according to the laws of the Province in which the goods and services are delivered or supplied from.  

12. The Environment:
In fulfilment of its obligations under the terms of the present contract, the supplier and its subcontractors declare that applicable government regulations (federal, provincial and municipal) with respect to environmental protection and conservation will be observed.

In the event of an accidental spill or discharge of any substance that is infectious, toxic or harmful to the environment ("Contamination"), caused by the supplier or its subcontractors while carrying out activities at  Kinderville under this contract, the supplier must immediately advise Kinderville and commence as soon as possible any necessary cleanup, decontamination, removal, disposal and/or remedial action, and must comply with, where applicable, any directives contained in environmental laws issued with respect to said Contamination, entirely at its own expense and to Kinderville's satisfaction. In addition, the supplier will assume the costs of any emergency procedure required and any environmental audit report requested by Kinderville before and/or after the decontamination.
